If a broker (Broker) introduces a tenant to sub800 and they sign either or both of the conracts below, you will receive Commission for the referral of any or all of the following that are relevant:
a sub800 Services Contract (for sub800’s Workspace Services as defined in the Services Contract from time to time); and/or
a Landlord Lease Contract (for renting the workspace).
Commission shall be:
based upon the first year’s annual list price (totaling where relevant the rent, service charge, business rates, utility costs, insurance and sub800’s Workspace Services) exclusive of VAT; and
calculated at at a standard rate of 10% unless a sub800 promotion is in place in which instance the percentage will be reduced proportionately with that promotion.
Sub800 shall promptly notify the Broker in writing as soon as practicable after entering into a sub800 Services Contract.
The Broker shall invoice sub800 for the Commission payable in accordance with these terms and conditions only, together with any applicable VAT. The due date for payment by sub800 of such Commission shall be no less than 30 calendar days from date of receipt of a valid invoice accepted by sub800 (and in the instance of any revisions required by sub800 the revised invoice shall become payable 30 calendar days from the date of the agreed invoice).
sub800 shall be under no obligation to pay the Commission to the Broker if the tenant:
fails to move into the relevant workspace; and/or
delays or fails to pay the fees under its sub800 Services Contract and/or Landlord Lease Contract;and/or
breaches any of the terms in the sub800 Services Contract and/or Landlord Lease Contract.
If a sub800 Landlord Lease Contract includes a tenant break clause within the first year of its term sub800 shall have the right to pay the Broker in instalments, where:
the first payment shall be payable as set out above (where the Broker shall invoice sub800 for the Commission payable in accordance with these terms and conditions only, together with any applicable VAT. The due date for payment by sub800 of such Commission shall be no less than 30 calendar days from date of receipt of a valid invoice accepted by sub800 (and in the instance of any revisions required by sub800 the revised invoice shall become payable 30 calendar days from the date of the agreed invoice) and cover the Commission properly owed up to the relevant break date (with any necessary adjustments made to the rent reserved as necessary; and
the second payment shall be for the remainder of the Commission properly owed to the Broker by sub800 and payable at the end fo the first year where the tenant does not choose to terminate the Landlord Lease Contract by using the break clause.
If a Landlord Lease Contract is renewed then sub800 will make arrangements with the Broker on a case by case basis to incentivise the Broker to coordinate with sub800 on that renewal but sub800 shall not be bound to replicate these terms or conditions on renewal, but shall act fairly in any case.
2. Making a Referral to sub800
The Broker is required to provide details of the referral tenant to sub800 via telephone (0207 052 3025) or email

Should sub800 wish to pursue the referral it will work to arrange viewings of the relevant workspace.
A referral is only deemed successful when:
in the case of a referred Landlord Lease Contract and a sub800 Services Contract together, the tenant attends the viewing arranged by sub800, and on confirmation of this attendance by sub800 in writing to the Broker; or
in the case of a sub800 Services Contract only, the tenant signs that contract and this is confirmed by sub800 in writing to the Broker.
3. Overturning Process
sub800 work on a building-by-building basis only and in making a referral the Broker acknowledged and accepts this.
In the instance that a second broker refers a tenant after a Broker (being a broker already bound by these terms) makes a referral of the same tenant viewing the same workspace with the second broker after the Broker, then sub800 agrees that:
the viewing will be declined for the second broker for a period of 3 calendar months from the date that a successful referral was notified to the Broker; save that
sub800 will accept letters from the tenant to overturn that position and to consider the second broker to be the only Broker, pursuant to tenant express instructions.
Commission will only be payable to a Broker that, pursuant to these terms, is mandated by the tenant to be its referring broker, and who successfully makes a referral pursuant to paragraph 2 above.
4. Early Termination
If the Landlord Lease Contract and/or the sub800 Services Contract (as the case may be) is brought to an early within the first year for any reason whatsoever the Broker shall return to sub800 the proportionate part of the Commission calculated on a pro rata basis of how much of that year the contract was in effect.
The Broker must pay this proportionate amount to sub800 no more than 30 calendar days from the relevant termination date (as notified to the Broker by sub800).
5. Terms Eligibility
By making referrals for a sub800 Services Contract and/or a Landlord Lease Contract the Broker acknowledges and agrees without reservation to these terms (including any updates made to them by sub800 from time to time, where any change that might reasonably affect the Commission available to a Broker related to a referral which has already been communicated to sub800 shall communicated to the Broker).
6. sub800 Broker relationship and non-circumvention
A Broker is not at any time authorised or required to:
make decisions, sign contracts or agree to anything in sub800’s name;
use sub800’s name, logo or trademarks on any marketing materials without the prior written consent of sub800; and/or
without sub800’s prior written consent, advertise workspaces from any sub800 website or portal.
Where the Broker makes a referral of a Landlord Lease Contract then it shall not after the date of any such referral deemed successful pursuant to paragraph 3 above negotiate, contract, or facilitate entry into a Landlord Lease Contract in respect of the relevant workspace or building in which it is situated (or any other premises under that same Landlord’s control) without the contemporaneous execution of a sub800 Workspace Agreement.
Should the broker proceed in breach of its the terms of this paragraph 6 the Broker agrees to pay sub800 a sum equivalent to 20% of the first year’s annual rent immediately upon execution of the successive lease. This condition shall apply for 24 months from the date of the relevant first successful referral.
